PABC Bylaws |
ARTICLE I: NAME
The name of this association shall be Parliamentarians Association of British Columbia, (PABC), a division of the National Association of Parliamentarians, (NAP).
ARTICLE II: OBJECT
The object of the association shall be to promote the study and use of parliamentary procedure and the educational programs NAP at the provincial level; to assist in the organization of units within its boundaries; and assist in arranging district conferences.
ARTICLE III: MEMBERS
Section 1. Classification
There shall be two classes of members.
A. Unit Members are those NAP members who belong to a unit.
B. Members-at-large: Members-at-large are those NAP members who do not belong to a unit.
C. PABC members shall be members in good standing as long as their membership dues are paid.
D. Membership rights are extended to those members who remain in good standing and are not under disciplinary action.
E. A membership may be suspended, by a 75% affirmative vote, in a special meeting called for that purpose. The duration of the suspension may be indefinite or for a specified time.
F. Affiliate Members are those NAP members who are primary members of another association or unit and who are not counted for the purpose of determining the number of delegates to which the PABC association or unit is entitled at NAP conventions.
Section 2. Dues
A. Membership dues shall be an amount as is determined by the members at the annual meeting.
B. All dues shall be:
1. payable by January 1,
2. delinquent by February 1,
3. forfeited by March 1.
Section 3. Fiscal Year
The fiscal year shall be January 1 through December 31.
ARTICLE IV: OFFICERS
Section 1. Officers
The elected officers of the association shall be a president, a vice president and a secretary/treasurer, or secretary and treasurer.
Section 2. Nomination and Election
A. The Nominating Committee shall:
1. be elected at the annual General Meeting by plurality,
2. submit a nominee for each office,
3. present the nominating report in the call of the meeting.
B. The Election of Officers shall:
1. be held at the Annual General Meeting,
2. be by ballot, or by viva voce for an office with one nominee,
3. take effect on January 1 of the ensuing year,
4. be for a term of one year, or until a successor is elected.
Section 3. Duties of Officers
A. The President shall:
1. be the representative of the Association,
2. appoint the parliamentarian,
3. appoint all committees (with the exception of the Membership Chairman and
Nominating Committee) and the delegates to convention, subject to the approval
of the Executive Board.
4. be an authorized signatory on cheques,
5. fulfill any other duties as required.
B. The Vice President shall:
1. serve in the absence of the president,
2. serve the Membership Committee,
3. fulfill any other duties as may be required.
C. The Secretary shall:
1. record the minutes of all meetings of PABC and the Executive Board,
2. fulfill any other duties as may be required.
D. The Treasurer shall:
1. be custodian of all funds and assist the executive in formulating an annual
budget,
2. be authorized to sign cheques,
3. fulfill any other duties as may be required.
ARTICLE V: MEETINGS
Section 1. Convention
The Annual Meeting shall be held in the month of November unless otherwise ordered by the association.
Section 2. Special Meetings
Special meetings may be called by the president and shall be called at the request of a majority of the executive board. 28 days notice shall be given to all members.
Section 3. Education
All meetings shall include educational materials.
Section 4. Quorum
Five members shall constitute a quorum of all meetings of the association.
ARTICLE VI: EXECUTIVE BOARD
The members of the executive board shall be the elected officers, and standing committee chairmen.
Section 1. Duties of the Executive Board
The Executive Board shall:
1. adopt a budget,
2. act as liaison between members and district,
3. fill vacancies,
4. and such other duties as may be required
Section 2. Quorum
Three members of the board shall form a quorum for all meetings of the executive board.
Section 3. Board Meetings
Meetings to be at the discretion of the executive board and may be called at the request of the president or any two members.
ARTICLE VII: COMMITTEES
Section 1. The Standing Committees shall be:
A. Bylaws Committee:
The committee shall be composed of a chairman and two members.
The committee shall:
1. review all amendments submitted in accordance with ARTICLE XII and edit for
composition,
2. consolidate similar amendments for joint proposal subject to acceptance by
the proposer(s),
3. have the right to originate amendments,
4. submit amendments to the bylaws as provided in ARTICLE XII together with the
committee's recommendations for actions,
5. prepare revised bylaws as amended,
6. review unit bylaws for compliance with NAP and PABC bylaws.
B. Membership Committee:
The committee shall be composed of the Vice President (chairman) and two members.
The committee shall:
1. be responsible for internal and external PR and Publicity,
2. keep a current roster of all members of the association.
Section 2: Special Committees
Special committees may be created as necessary, at the Annual General Meeting or by the executive board.
Section 3. Ex officio
The president shall be ex officio member of all committees with the exception of the Nominating Committee.
ARTICLE VIII: DELEGATE REPRESENTATION
Delegates and alternates shall appointed at a board meeting held a minimum of 60 days prior to the NAP convention.
ARTICLE IX: UNITS
Section 1. Boundaries
NAP units chartered within the boundaries of the association shall be affiliated with the association.
Section 2. Unit Bylaws
Unit bylaws shall be reviewed periodically for compliance with NAP and PABC Bylaws.
ARTICLE X: DISSOLUTION
In the event of dissolution of the association the assets shall be liquidated and distributed to NAP in accordance with government regulations. None of the funds shall inure to the benefit of individual members. The association charter shall be returned to NAP headquarters.
ARTICLE XI: PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert's Rules of Orders Newly Revised shall govern the association in all cases in which they are not inconsistent with these bylaws or those of NAP and any special rules of order the association may adopt.
ARTICLE XII: AMENDMENTS OF BYLAWS
These bylaws may be amended at any regular meeting of the association by a
two-thirds vote, provided that notice has been sent to each member at lease 28
days prior to the meeting at which it will be considered.
Any amendments necessitated by amendments to NAP bylaws shall be effected by the
Bylaws committee and reported to the membership at the next regular meeting
following the adoption of such amendments by NAP.
